A corporate minute book is the official record of your corporation's legal and governance documents — articles of incorporation, bylaws, shareholder and director registers, and all resolutions and consents. It is required under the BC Business Corporations Act and must be kept current.

Yes. All BC corporations must maintain a current minute book under the Business Corporations Act. Failure to do so creates problems when selling the business, obtaining financing, or responding to a CRA review. An outdated minute book is the most common issue we see.
